Acting for a global leader in cloud-delivered LTE and 5G ready cloud-managed wireless edge networking equipment to one of Australia’s largest telcos. As part of this transaction, we were responsible for negotiating a complex supply agreement (on customer terms), which involved addressing a myriad of legal issues related to data and product/service resale.
One of the key challenges faced on this deal was working with customer friendly (and somewhat complex) terms that were not well suited to how our client actually supplies the networking equipment (and related services). This required us to be strategic in our approach to our approach to contracting, guiding the client on best approach to finalising appropriate contractual terms with the customer in a tight deadline.
The deal was also complex, in that the engagement included a supply component (in the cloud-managed networking equipment), the resale of that equipment to the customer’s consumer and enterprise customers, and related managed services. This complexity presented a host of legal issues that needed to be work through, including with respect to data privacy and security, data ownership and aggregation, equipment resale and regulatory compliance.
Our deal team was able to successfully navigate this complexity, ensuring that the client’s interests were protected while also meeting the needs of the customer.
Despite the complexity of the legal issues involved, the deal was successfully closed on time, much to the satisfaction of the client.
